OVM E-POS License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and OVM Digital Services ("OVM") for the OVM E-POS software product, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Licensed Software").

By installing, copying, or otherwise using the Licensed Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Licensed Software.

1. Definitions

  • "Admin" refers to the user account with the email `nabeelkhan1007@gmail.com`, possessing unrestricted access to all system functionalities.
  • "Vendor" refers to a business entity or individual who has activated a license to use the POS system for their commercial operations.
  • "Staff" or "Cashier" refers to a user account created by a Vendor, with limited access to the POS system for performing sales transactions and other duties as assigned by the Vendor.
  • "Customer" refers to an end-user making purchases or using services through the OVM platform.
  • "Device Lock" refers to the system that restricts Staff/Cashier access to a limited number of authorized devices as determined by the Vendor's tenant plan.
  • "Local Data" refers to all transaction data, customer information, and other operational data stored on the local device where the POS software is installed.

2. License Grant

OVM grants you a non-exclusive, non-transferable license to use the Licensed Software according to your role:

  • Admin: A license to access, manage, and monitor all aspects of the OVM E-POS platform.
  • Vendor: A license to use the POS system for your business operations, manage your products, and create and manage Staff/Cashier accounts, subject to the terms of your activated license key.
  • Staff/Cashier: A limited, revocable license to operate the POS system on a single, authorized device for the sole purpose of performing duties for your associated Vendor.
  • Customer: A license to access the customer-facing portions of the OVM platform to purchase goods and services.

3. Data, Security, and Offline Use

Your Responsibility for Data: The POS component of the Licensed Software is designed to store data locally on your device. You are solely responsible for the security, integrity, health, and regular backup of your Local Data. OVM cannot and will not be liable for any loss, corruption, or compromise of your data, including but not limited to data loss resulting from device failure, theft, or software error. It is your responsibility to implement your own backup procedures.

Cloud Sync: While the Licensed Software may offer features to sync Local Data to the cloud, this feature is provided "as is" and is not a substitute for your own backup responsibilities. OVM does not guarantee the continuous availability or integrity of the cloud sync service.

Encryption: Data recovery files generated by the system are encrypted. Only the originating Vendor account can decrypt these files. The Admin may, under specific circumstances and at their sole discretion, assist in transferring encrypted recovery data, but the Admin cannot decrypt or access the contents of the data.

4. Device Lock & Authorization

Use of the Licensed Software by Staff and Cashiers is subject to the Device Lock system. Each login attempt from a Staff/Cashier account will be authenticated against a registered device fingerprint. Vendors are responsible for managing their device limits according to their subscription plan. Attempts to log in from unauthorized devices or from a number of devices exceeding the plan limit will be blocked. Circumventing the device lock mechanism is a violation of this EULA.

5. Restrictions on Use

You agree not to, and you will not permit others to:

  • Rent, lease, lend, sell, redistribute, or sublicense the Licensed Software.
  • Reverse engineer, decompile, or disassemble the Licensed Software, except and only to the extent that such activity is expressly permitted by applicable law.
  • Use the Licensed Software for any fraudulent, illegal, or unauthorized purpose.
  • Attempt to circumvent any security measures, including the Device Lock system.

6. Support, Refunds, and Warranty

Technical Support: OVM provides technical support as outlined in your service agreement or on our website. Support is not guaranteed for issues arising from user error, hardware failure, or third-party software.

Refund Policy: All fees for software licenses, setup, and subscriptions, including POS System Setup Fees, are strictly non-refundable once the service or setup process has commenced. Please review our full Refund Policy for details.

Warranty Disclaimer: The Licensed Software is provided "as is" without warranty of any kind. OVM does not warrant that the software will be error-free or that it will meet your specific requirements. You assume all risks associated with its use.

7. Governing Law

This EULA will be governed by and interpreted in accordance with the laws of the Sultanate of Oman. You submit to the non-exclusive jurisdiction of the courts located in Oman for the resolution of any disputes.
